This Joint Operating Agreement (“Agreement”) dated this day of December, 2003, by and between PJM Interconnection, L.L.C. (“PJM”) a Delaware limited liability company having a place of business at 955 Jefferson Avenue, Valley Forge Corporate Center, Norristown, Pennsylvania 19403, and the Midwest Independent Transmission System Operator, Inc. The Joint Operating Agreement (JOA) governs the relationship between parties having working interests in the same parcel of land (“joint lands”) and provides agreement for the exploration, development and operation of the joint lands. (This is normally the first agreement the parties will enter into.) The agreement's primary purposes are to allow parties to delineate the division of costs and benefits and to establish and/or point to a set of rules by which the parties will operate the jointly owned lands.

This Agreement, the “Agreement” or “JOA”, is effective the 1st day of January, 2000 between CONTINENTAL ENERGY CORPORATION (“CEC”) a Canadian, British Columbia corporation, APEX (BENGARA-II) Ltd. (“Apex Bengara”) a British Virgin Islands corporation, and GEOPETRO RESOURCES COMPANY (“GeoPetro”) a U.S.A., California corporation. All of the aforementioned are parties to this Agreement are hereinafter referred to individually as “Party” and collectively as “Parties” and each Party occupies an address as set forth in Article-33.

WHEREAS the Seller wishes to sell and the Purchaser wishes to buy the Interests and the Other Interests on the terms and conditions set out herein.

The following 10 pages represent transcribed comments as I read through this joint operating agreement for the first time. I spoke into a voice recognition program. You will forgive me if this document is not highly polished or contains typographical errors. I prepared it to assist me in understanding the structure of the new partnership, and to allow me to compare this iteration with the merger documents prepared in 2011. I reserve the right to add to it and otherwise polish it up. For each section of the document I reference, I offer commentary either in brackets, or in the following "Comment." I hope that will allow you to follow my thinking or identify my concern.

All of which are collectively referred herein as Parties, which expression shall include their successors and such assignees as are permitted under Article 13 hereof.
